1. Acceptance of Terms

You confirm that you have read, understood, and agree to comply with all terms and conditions in this Agreement, including our Privacy Policy, Cookie Policy, Refund & Withdrawal Policy, and Health & AI Disclaimer, all of which are incorporated herein by reference.

When you create an account or otherwise access or use the Service, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into this agreement.

2. Description of Service

ScanPal provides:

• Scanning of product barcodes to retrieve nutrition and ingredient information
• AI-powered analysis of product photos to extract ingredient and additive details
• Health score generation and explanation based on nutritional analysis
• Personalized food insights and ingredient explanations
• Other related features as described on our website and application

3. Account Registration and Access

You may register using:

• Email with Magic Link authentication (passwordless)
• Telegram login (optional)

You are responsible for maintaining the security of your account and for all activities that occur under your account. You agree to provide accurate and complete information and to update it as necessary.

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. User Conduct and Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to reverse engineer, hack, exploit, or compromise the integrity, security, or performance of the Service
• Misuse our AI systems, including attempting prompt injection, generating malicious content, or manipulating outputs
• Scrape, crawl, or use automated tools to access the Service without our express written permission
• Distribute malware, spam, or any other harmful content through the Service
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

Violation of these rules may result in immediate suspension or termination of your account.

5. Subscriptions, Payments, and Refunds

5.1 Subscription Plans

ScanPal offers both free and premium subscription plans. Premium subscriptions may be offered on a monthly or annual basis.

5.2 Payment Processing

Payments are securely processed by Stripe, our third-party payment processor. By making a purchase, you also agree to Stripe's terms of service.

All prices are listed in Euros (€) and include applicable VAT for EU customers.

5.3 Right of Withdrawal (EU Consumers)

Under EU consumer law, you have a 14-day right to withdraw from digital purchases without giving any reason.

However, when you purchase a premium subscription, you may be asked to consent to immediate access to digital content and acknowledge that this waives your right of withdrawal once the content is provided. This is done in compliance with Directive 2011/83/EU.

5.4 Refunds

If you did not waive your withdrawal right, you may request a full refund within 14 days of purchase. For full details, please refer to our Refund & Withdrawal Policy.

6. Intellectual Property

All content included in the Service — text, graphics, logos, images, audio, software, and any other material — is the property of XPROFIT OÜ or its licensors and is protected by Estonian, European Union, and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content without our prior written consent.

7. AI-Generated Content and Health Disclaimer

ScanPal uses artificial intelligence to analyze product photos and provide health scores and ingredient explanations. While we strive for accuracy, AI-generated content may contain errors or inaccuracies.

The information provided by ScanPal is for informational purposes only and does not constitute medical, nutritional, or professional health advice. Always consult a qualified healthcare provider before making dietary decisions, especially if you have allergies, medical conditions, or dietary restrictions. 8. Limitation of Liability

To the fullest extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
• We do not guarantee that the Service will be uninterrupted, secure, or error-free.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill.

Our total liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us, if any, in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless XPROFIT OÜ, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable law or regulation

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you.

10. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, and protect your personal data in compliance with the General Data Protection Regulation (GDPR) and Estonian data protection laws.

11. Modifications to Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to our website or application. We will notify you of material changes via email or in-app notification. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Estonia.

13. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
